Former Tennessee coach Jeremy Pruitt's lawyer threatens suit that would 'cripple' UT athletics 'for years'

The lawyer representing former Tennessee football coach Jeremy Pruitt gave UT an ultimatum this month: Either reach a settlement with Pruitt by Oct. 29, or face a lawsuit that the lawyer claims has the potential to “cripple UT’s athletic programs for years.”
Michael Lyons, Pruitt’s Texas-based lawyer made no attempt to defend Pruitt, but instead threatened a lawsuit that would aim to embarrass the university and unmask widespread rule-breaking behavior Lyons alleges extends above and beyond Pruitt’s football staff.
Two thoughts:
(1) I am shocked I tell you, shocked, that an SEC school could be involved in skullduggery. What is the world of college athletics coming to when there are allegations that any SEC school would cheat in order to win football games.
(2) Someone please explain to me how this threat from Pruitt's lawyer is not blackmail. I thought blackmail was illegal. But I guess it is OK if the threat is made by an attorney as a negotiation ploy.
